DISCLOSEABLE AND MAJOR TRANSACTIONS IN RELATION TO A SERIES OF CONSTRUCTION CONTRACTS
The Company has entered into various Construction Contracts with Shanxi Hongtao for various construction work performed relating to the New Plant for the period commencing from 31 August 2005 to 15 November 2007 to increase the production capacity of the Company for an aggregated contract sum of approximately of RMB52.4 million (equivalent to approximately HK$55.7 million). The Construction Contract entered into between the Company and Shanxi Hongtao on 31 August 2005 would have constituted a discloseable transaction of the Company. In addition, if all Construction Contracts entered into between the Company and Shanxi Hongtao during the period commencing from 19 October 2006 to 15 November 2007 were aggregated for the purposes of Chapter 19 of the GEM Listing Rules, it would have constituted a discloseable transaction on the part of the Company on 19 October 2006, 30 October 2006, 28 March 2007 and 15 August 2007 respectively, and a major transaction on the part of the Company on 8 June 2007. Other than the disclosure of the progress of the establishment of the New Plant and the disclosure of such capital expenditure and commitment in its 2004, 2005, 2006 and 2007 annual reports and the interim reports for the six months ended 30 June 2005, 2006 and 2007 respectively, no separate announcement and circular was issued by the Company in accordance with the GEM Listing Rules in the past in this regard. Save for the Construction Contracts entered into between the Company and Shanxi Hongtao and disclosed in this announcement, no other binding purchase contract was made by the Company with Shanxi Hongtao which constitutes a capital commitment of the Company. The circular containing all the relevant disclosure requirements for major transactions under the GEM Listing Rules which the Company would have been expected to have issued in relation to the Construction Contracts for the period between 19 October 2006 and 15 November 2007 will be despatched to the Shareholders as soon as possible.
